These Terms of Service (“Terms”) govern your access to and use of the websites, platforms, services, software, training programs, staffing solutions, and related offerings operated by Goldbar Real Estate Advisors LLC (“Company,” “we,” “us,” or “our”), doing business as Goldbar Talent, Goldbar Academy, and related Goldbar brands.
By accessing or using our services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must not use our services.
IMPORTANT: THESE TERMS INCLUDE LIMITATIONS OF LIABILITY, A BINDING ARBITRATION CLAUSE, AND A WAIVER OF CLASS ACTION RIGHTS.
1. Scope of Services
The Company provides professional staffing solutions, digital training programs, workforce readiness education, consulting services, and technology-enabled business support. Goldbar Talent connects businesses with independent remote professionals. Goldbar Academy delivers digital training designed to prepare individuals for professional opportunities and career readiness.
We reserve the right to modify, suspend, or discontinue any service at any time without prior notice or liability.
2. Eligibility
You must be at least eighteen (18) years old and legally capable of entering into a binding agreement. By using our services, you represent that all information you provide is accurate, current, and complete.
3. Independent Contractor Relationship
All professionals introduced through Goldbar Talent are independent contractors unless explicitly stated otherwise in a separate written agreement.
The Company is not the employer of any assistant, candidate, or professional and assumes no responsibility for:
• supervision
• scheduling
• compensation agreements
• benefits
• tax withholding
• employment classification
• workplace policies
• regulatory compliance
Clients retain full responsibility for managing their working relationships and complying with applicable employment laws.
4. No Guarantee of Results or Employment
Goldbar Academy does not guarantee:
• employment
• job placement
• interviews
• income
• business results
• client assignments
Completion of any training program does not entitle participants to placement opportunities. Goldbar Talent does not guarantee the performance, reliability, availability, or outcomes of any professional introduced through our services.
Success depends on numerous factors outside the Company’s control.
5. Payment Terms
All fees are due at the time of purchase or as stated in your service agreement or invoice. Failure to remit payment may result in immediate suspension or termination of services. You agree not to initiate chargebacks without first contacting our support team to seek resolution. The Company reserves the right to recover all costs associated with fraudulent or abusive payment disputes, including administrative fees, arbitration costs, collection expenses, and legal fees where permitted by law.
6. Refund Policy
Due to the immediate access provided to digital services and the allocation of staffing resources, all purchases are final and non-refundable unless explicitly stated otherwise in writing. Goldbar Academy may offer a Completion Reward subject to published eligibility criteria.
Refund abuse, policy manipulation, or chargeback fraud may result in immediate removal from the Company’s ecosystem and suspension of future services.
7. Non-Solicitation and Circumvention
Clients agree not to directly or indirectly solicit, hire, contract with, recruit, or otherwise engage any professional introduced by the Company outside of the Company’s platform during the engagement period and for twelve (12) months thereafter.
In the event of a violation, you agree to pay liquidated damages equal to twelve (12) months of the professional’s service fees, representing a reasonable estimate of the Company’s investment in recruiting, training, and placement.
The parties expressly acknowledge that this amount is not a penalty but a fair measure of damages.
8. Intellectual Property
All materials, training content, frameworks, methodologies, systems, branding, software, and technology are the exclusive property of the Company.
You are granted a limited, revocable, non-transferable license for personal or internal business use only.
You may not:
• reproduce
• distribute
• modify
• sell
• sublicense
• reverse engineer
• create derivative works
Unauthorized use may result in legal action.
9. Confidentiality
You agree to maintain the confidentiality of all proprietary information obtained through the Company, including but not limited to training materials, operational processes, pricing structures, candidate data, and business strategies.
This obligation survives termination of services.
10. Acceptable Use
You agree not to:
• use services for unlawful purposes
• harass, discriminate against, or exploit professionals
• transmit malicious code
• attempt unauthorized access to systems
• scrape, extract, or harvest platform data
• misrepresent your identity
We reserve the right to terminate access immediately for violations.
11. Technology and Platform Availability
While we strive to maintain reliable service, uninterrupted platform availability is not guaranteed.
The Company shall not be liable for delays or disruptions caused by:
• system failures
• internet outages
• cyber incidents
• third-party service providers
• events beyond reasonable control
12. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
The Company’s total liability for any claim shall not exceed the total fees paid by you to the Company within the ninety (90) days preceding the event giving rise to the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless Goldbar Real Estate Advisors LLC and its affiliates from any claims, damages, liabilities, costs, or expenses arising from:
• your misuse of services
• violation of these Terms
• employment-related disputes
• regulatory violations
• intellectual property claims
14. Force Majeure
The Company shall not be responsible for any failure or delay in performance due to events beyond its reasonable control, including natural disasters, labor disruptions, governmental actions, cyber incidents, or infrastructure failures.
15. Governing Law
These Terms shall be governed by the laws of the State of Florida without regard to conflict of law principles.
16. Binding Arbitration
Any dispute arising out of or relating to these Terms shall be resolved exclusively through confidential binding arbitration in the State of Florida in accordance with the Federal Arbitration Act.
You waive any right to participate in class actions or jury trials.
17. Modifications to Terms
We reserve the right to update or modify these Terms at any time.
Continued use of our services constitutes acceptance of the revised Terms.
